In order to safeguard your (hereinafter referred to as "your company") legitimate rights and interests, please read the entire content of this Agreement carefully before signing the "Authorization Agreement" (hereinafter referred to as "this Agreement") to clearly understand your company's rights and obligations in the Enterprise Credit Report-Financial and Taxation Edition Service, especially the bold text.
When you read and click "Agree" to this Agreement, or use the Enterprise Credit Report-Financial and Taxation Edition Service provided by QCC in other ways, it means that your company has fully understood the meaning of all terms of this Agreement and the corresponding legal consequences, and agrees to grant QCC TECH PTE. LTD. and its affiliates (hereinafter referred to as "QCC") various authorizations in this Agreement and perform rights and obligations in accordance with the provisions of this Agreement. This Agreement will take effect immediately. I. Commitments 1.1 You promise and confirm that before signing this agreement, you are a Chinese corporate legal person, public institution or other economic organization registered and validly existing in accordance with Chinese law, with domicile in China (excluding Hong Kong, Macao and Taiwan), and have full civil capacity to independently bear legal responsibility. 1.2 This agreement is completed by the natural person (actual operator) entrusted by you. You know that your query account and password in the national electronic tax system are unique, and you have the obligation to keep the account and password properly. You guarantee that any actual operator who provides the account and password and passes the certification has obtained your legal, comprehensive and effective authorization, which allows the actual operator to sign this agreement online on your behalf with QCC, and all legal consequences arising from this will be borne by you. 1.3 You promise that all actions implemented in the process of using the service will comply with national laws and regulations, will not violate social public interests or public morality, will not harm the legitimate rights and interests of others, will not publish information prohibited by the state, and will not publish other information suspected of violating the law or this agreement and various rules. 1.4 You promise that the authorization and commitment under this Agreement are made by you independently, autonomously and carefully. You have carefully read all the terms under this Agreement and paid special attention to the boldfaced content. You are fully aware of and understand the meaning of all terms and the corresponding legal consequences, and you voluntarily make authorizations, commitments and declarations.
1.5 You unconditionally and irrevocably promise that when your behavior is suspected of violating laws and regulations or violating this Agreement and/or rules, QCC has the right to take corresponding measures, including but not limited to directly blocking, deleting infringing information, or directly stopping the provision of services. If your behavior causes QCC to suffer any losses (including but not limited to claims from third parties, penalties from administrative departments, etc.), you shall also compensate or indemnify QCC for all losses and (or) all expenses incurred, including but not limited to litigation fees, attorney fees, preservation fees, etc.
II. Authorized Content 2.1 You agree and irrevocably authorize: QCC has the right to collect, organize, save, process, use and provide your information and credit information provided by you or other entities authorized by you in accordance with relevant national laws and regulations, including but not limited to finance and taxation (basic information, contact information, investor information, tax declaration information, tax collection information, upstream and downstream annual information, asset and liability information, profit information, tax-related illegal and illegal information, audit information, enterprise change information, invoicing information), industry and commerce, judicial and other information. You are fully responsible for the authenticity, completeness and accuracy of all information you provide.
2.2 You agree and irrevocably authorize: QCC has the right to authorize QCC and its technical service providers to log in to the national taxation system to query, collect, organize, save, process and use your finance and taxation data when providing you with the corporate credit report-finance and taxation version service in accordance with relevant national regulations.
2.3 To improve your service experience, you agree and irrevocably authorize QCC to use your company information and credit information for QCC's credit evaluation or other credit investigation business on you, so that QCC can timely and continuously evaluate your credit status in the process of providing services to you.
III. Information Security 3.1 During the process of information collection, organization, storage, processing, use and provision, QCC shall strictly protect the company's information in accordance with the provisions of laws and regulations and the provisions of this Agreement. If QCC processes information beyond the scope of this Agreement and laws and regulations, QCC shall bear the relevant legal responsibilities. IV. Objection Handling 4.1 You understand QCC's regulations on objection handling of relevant information. If you believe that there are errors or omissions in the information in the report, you can submit an objection application to QCC and upload the following materials: (1) a copy of the business license (with official seal);
(2) the identity certificate of the legal representative/executive partner (with official seal);
(3) evidence materials related to the disputed information.
V. Intellectual Property 5.1 You agree that the intellectual property rights of all content (including but not limited to web pages, text, pictures, audio, video, charts, etc.) involved in the process of QCC providing services belong to QCC. Unless otherwise stated, the copyright, patent and other intellectual property rights of the software on which QCC relies when providing services belong to QCC. VI. Agreement Text 6.1 If the content of this Agreement is inconsistent with the contract terms of the relevant business, the content of this Agreement shall prevail regardless of whether the relevant contract is signed before or after this Agreement, except where the relevant contract terms clearly stipulate that they are revisions to the content of this Agreement. VII. Applicable Law and Jurisdiction 7.1 This Agreement is signed in Suzhou, the People's Republic of China. 7.2 The validity, interpretation, modification, execution and dispute resolution of this Agreement shall be subject to the laws of the People's Republic of China (except the Hong Kong Special Administrative Region, the Macao Special Administrative Region and Taiwan). 7.3 Any disputes arising from this Agreement shall be resolved through friendly negotiation first. If the negotiation fails, the dispute may be sued in the People's Court with jurisdiction over the location of QCC.
